### SECTION 1 - B2B MANUFACTURING & CUSTOMIZATION TERMS
As a professional apparel manufacturer specializing in custom streetwear, blokecore football jerseys, and heavyweight blanks, our business operates on a Business-to-Business (B2B) apparel production model.
1. **Order Acceptance & Vector Files:** To initiate custom production, the buyer must provide high-resolution, production-ready vector logos (.AI, .EPS, or .PDF). We are not responsible for print pixelation caused by low-quality client graphics.
2. **Size Tolerance:** All streetwear silhouettes (boxy fit, oversized fits) follow our standard size charts. A commercial cutting and sewing manufacturing tolerance of +/- 1.5cm to 2cm is standard in the garment industry and shall not be considered a manufacturing defect.
3. **Color Matching:** While we strive for exact color matching for dyed fabrics, sublimation prints, and silkscreen inks, minor variations may occur between different fabric dye lots and digital mockups versus physical textiles (within acceptable Pantone or standard commercial ranges).

### SECTION 2 - INTELLECTUAL PROPERTY & LOGO INDEMNIFICATION
1. **Client Copyrights:** The buyer warrants that they own the intellectual property rights, copyrights, and trademarks for any designs, brand logos, names, or graphics submitted to us for manufacturing.
2. **Indemnification:** You agree to indemnify, defend, and hold harmless Dongguan Xinyang Garment Co., Ltd. from any claims, lawsuits, damages, or legal costs arising from any third-party intellectual property or trademark infringement claims related to the clothing we produce under your brand design requirements.
3. **Showcase Right:** Unless explicitly requested otherwise in writing by the buyer, we reserve the right to display pre-production samples, anonymous client case study fabrics, or factory production clips on our website portfolio and social media channels solely to showcase our manufacturing craftsmanship capabilities.

### SECTION 3 - PAYMENT & PRODUCTION SCHEDULES
1. **Bulk Payment Terms:** Standard bulk apparel orders require a 50% deposit before fabric sourcing and cutting begin. The remaining 50% balance plus shipping fees must be paid in full and cleared before the cargo is released for international dispatch.
2. **Lead Times:** Production turnaround times (typically 14-21 days depending on MOQ and craft complexity) are commercial estimates. While we maintain a strict on-time rate, we are not liable for delayed launches due to shipping carrier delays, customs customs inspection holds, or raw material supply chain force majeure.
